We represent either Sellers or Buyers. As your new business begins or when a merger or acquisition is being planned, we advise on all aspects of your choice of legal entity whether that is a corporation, limited liability company or partnership. This includes all the formation and tax requirements, business registrations and licenses, founders’ and shareholders’ rights and obligations, asset or securities buy out agreements, finance agreements and UCC filings, advising on protection and assignments of patents, trademarks, copyrights and trade-secrets. We participate in the due diligence investigation of the target business along with the finance and accounting due diligence providers, negotiate and draft the contracts, review leases of facilities and equipment, insurance policies, employment agreements and conduct the escrow process.
We structure or re-structure the business to attract and secure capital through exempt private placements of securities. We prepare the offering documents and provide advice throughout the process.
We advise on Board of Directors practices, committees and when needed, in the preparation for the underwriting and registration of the company’s stock with the Securities and Exchange Commission. We then provide support on regulatory reporting.

We assist in raising new capital, obtaining operating capital through loans and other financing vehicles.
We advise you on corporate governance to protect you against loss of the indemnities under the law pertinent to the form of your business. Working with your staff, we develop and provide employee training in your corporate policies and the legal basis for them.
Throughout the process, we can reduce risks, prevent legal problems from arising with your employees, customers, suppliers, shareholders, and government agencies and solve problems that arise.
