How We Represent you in a Start-up or in an Acquisition or Merger.
From the time your business begins or when you are either a seller or buyer, or if a merger or acquisition is being planned, we advise you on all aspects of your choice of legal entity whether that is a corporation, limited liability company or partnership. We address the transaction structure for tax savings opportunities and requirements, business registrations and licenses, founders’ and shareholders’ rights and obligations, asset or securities buy out agreements, financing agreements and UCC filings. We advise you on protection and assignments of patents, trademarks, copyrights and trade-secrets. If you are acquiring a business, for example, we participate in the due diligence investigation of the target business along with the finance and accounting service providers, negotiate and draft the contracts, review leases of facilities and equipment, insurance policies, employment agreements and conduct the escrow process.
We help you structure or re-structure the business to attract and secure investment capital through exempt private placements of securities. We prepare the offering documents and provide advice throughout the process.
We advise the Board of Directors and committees when needed. We advise you on preparing the underwriting, private placement or registration of the company’s stock with the Securities and Exchange Commission. We then provide support on regulatory reporting.
Our Services To Businesses Already in Operation.
We represent you in negotiations for and by drafting contracts for sales and purchases of your goods, services, supplies, equipment, employment agreements, including preparation and filing of financing statements with the state(s) and all other agreements such as when a customer of yours is acquired by a different corporation and your ongoing business relationship needs clarification and protection.
We register your trademarks and copyrights.
We assist in you in raising new capital, obtaining operating capital through loans and other financing vehicles.
We advise you on corporate governance to protect you against risk of loss of the indemnities under the law pertinent to the form of your business. We develop and provide employee training in your corporate policies and the legal basis for them to protect you against employment disputes.
Throughout the process, we can reduce your risks and expenses, prevent legal problems from arising with your employees, customers, suppliers, shareholders, and government agencies.
In summary, our experience maximizes the benefits of your executive time by enabling you to devote it to business planning, marketing, sales, product design, finance and the successful operations of the enterprise rather than to solving avoidable legal problems. Finally, if a legal dispute does arise we will represent you in resolving it either through negotiation or litigation.
