As your new business begins or when as either a seller or buyer, a merger or acquisition is being planned, we advise you on all aspects of your choice of legal entity whether that is a corporation, limited liability company or partnership. This includes the formation and tax savings opportunities and requirements, business registrations and licenses, founders’ and shareholders’ rights and obligations, asset or securities buy out agreements, finance agreements and UCC filings, advising on protection and assignments of patents, trademarks, copyrights and trade-secrets.
